The Charity is registered as a Company limited by Guarantee. Its formal title is East Reading Horticultural Therapy and Community Based Training Ltd.
We would like to find someone who would be able to take over as Company Secretary within the coming year after a period of shadowing the present long-serving post holder who would like to retire. It would be preferable, but not essential, that the Company Secretary would be willing to serve as a Trustee.
We currently have five Trustees plus a qualified accountant acting as Treasurer.
Someone with legal qualifications or a qualification and experience as a Company Secretary would be ideal. The present Company Secretary, currently also the Chair, is a retired lawyer, and will remain a Trustee for at least one year, and he would be on hand to advise and assist as required. We would like to have different people filling the roles of Chair and Company Secretary.
The main role is to support the Chair by ensuring that the Board/Planning Group functions smoothly, in particular:
- Setting agendas for Trustee and Planning Group meetings, circulating papers, writing minutes and action notes
- Ensuring that all documentation which Ridgeline Trust is required by law to have in place is prepared and agreed by the Board of Trustees and sent to Companies House and the Charity Commission
- Ensuring that Ridgeline Trust complies at all times with relevant legislation and regulations
- Reviewing and drafting occasional legal documents
- Participating in reviews of policy and procedures
The Company Secretary and other Trustees and will be expected to attend monthly Board Meetings which are normally held on Monday or Wednesday evenings, although we do sometimes hold day time meetings and could do so more often if that would be more convenient to all. In addition there may be a small number of other meetings including the Annual General Meeting.
We are a friendly organisation with a good number of enthusiastic volunteers. Involvement in our main fundraising events the Plant Sale and Harvest Fete would be encouraged, but it is not essential.
